Terms of Service for PriceCopilot

Parts of these Terms that limit our liability or disclaim warranties are highlighted in bold or uppercase. Please read them carefully.

1. Acceptance of Terms

By downloading, installing, or using PriceCopilot ("the app"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the app. These Terms constitute a legally binding agreement between you and the operator of PriceCopilot ("we," "us," or "Service Provider").

2. Description of Service

PriceCopilot is a macOS desktop application that helps developers manage App Store pricing across multiple territories using the App Store Connect API. The app provides pricing strategies, batch operations, and submission workflows.

3. Eligibility

To use PriceCopilot, you must:

  • Own or have access to a Mac running macOS 14 (Sonoma) or later.
  • Have a valid Apple Developer Program membership (for features requiring the App Store Connect API).
  • Hold appropriate authorization for the App Store Connect API keys you provide.
  • Be at least 18 years old or have reached the age of majority in your jurisdiction.

4. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use PriceCopilot on macOS devices associated with your Apple ID, in accordance with the Mac App Store terms. This license is for your personal or internal business use only and does not permit redistribution, sublicensing, or commercial resale.

5. Account and API Credentials

  • PriceCopilot does not have a user account system. Your identity is associated with your Apple ID through the Mac App Store.
  • You are responsible for the security of your App Store Connect API credentials.
  • You must have appropriate authorization to use the App Store Connect API keys you provide to PriceCopilot.
  • PriceCopilot stores your credentials locally on your Mac using the macOS Keychain and an encrypted local database. We do not have access to your credentials.
  • If you suspect your credentials have been compromised, revoke the API Key immediately in App Store Connect.

6. Free and Pro Tiers

  • Free Tier: Includes limited functionality as described on our Pricing page. Free features include price table browsing, single-price editing, single-territory publishing, and single-account management. The Free tier is available at no cost and may be used indefinitely.
  • Pro Tier: Unlocks the complete feature set, including all pricing strategies, batch operations, data export, publish history, multi-account management, and multi-territory publishing. Available via monthly subscription, yearly subscription, or one-time lifetime purchase through the Mac App Store.

7. Pro Membership

7.1 Membership Identity: PriceCopilot Pro membership is associated with your Apple ID through the Mac App Store. There is no separate login account. Your Pro status is verified via the Mac App Store and RevenueCat.

7.2 Membership Scope: The specific features and privileges included in Pro are subject to what the current version of the app provides, as described on our Pricing page and within the app. Feature descriptions in this agreement may not reflect the latest changes in real time. In the event of any discrepancy, the features actually available in the current version of the app shall prevail. We reserve the right to adjust Pro features with reasonable notice.

7.3 Restore Purchase: If you reinstall PriceCopilot or switch to a new Mac, you can restore your Pro purchase through the "Restore Purchases" function within the app. Ensure you are signed in with the same Apple ID used for the original purchase.

7.4 Non-Commercial Use: Your Pro membership is for your personal or internal business use. You may not share, transfer, or resell your Pro access to third parties.

8. Subscriptions, Purchases, and Billing

8.1 Payment Processing: All purchases are processed exclusively through the Mac App Store. We do not process payments directly.

8.2 Subscription Plans:

  • Monthly Subscription: Billed monthly. Provides access to all Pro features for the subscription period.
  • Yearly Subscription: Billed annually. Provides access to all Pro features for the subscription period.
  • Lifetime Purchase: A one-time purchase that provides permanent access to Pro features for the operational life of the product (see Section 8.5).

Specific pricing is displayed on the Mac App Store purchase page.

8.3 Auto-Renewal: If you purchase a monthly or yearly subscription, your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the current period expires. The renewal fee will be charged to your Apple ID account.

Important: Uninstalling the app does NOT cancel your subscription. You must cancel through your Apple ID settings.

8.4 How to Cancel Auto-Renewal:

To cancel your subscription on macOS:

  1. Open System Settings on your Mac.
  2. Click your Apple ID (your name at the top).
  3. Click Subscriptions.
  4. Find PriceCopilot in the subscription list.
  5. Click Cancel Subscription and confirm.

Alternatively, open the App Store app → click your account icon → Account Settings → Subscriptions → Manage.

You can also manage subscriptions from your iPhone or iPad: Settings → tap your Apple ID → Subscriptions → find PriceCopilot → Cancel Subscription.

After cancellation, your Pro features remain active until the end of the current billing period.

8.5 Lifetime Purchase: The "Lifetime" purchase provides access to Pro features for the operational life of PriceCopilot — meaning the period from the app's initial availability on the Mac App Store until it is discontinued for any reason (including but not limited to business changes, technical evolution, or force majeure). "Lifetime" refers to the product's life cycle, not the purchaser's natural life span. If PriceCopilot ceases operation, lifetime access terminates accordingly. You acknowledge and agree to this, and may not claim rights beyond the product's life cycle based on the literal meaning of "Lifetime."

8.6 Nature of Digital Goods: You acknowledge that Pro features are digital goods delivered electronically. Once activated, they are generally not eligible for refunds except as provided by applicable law or Apple's refund policy (see Section 9).

8.7 Price Changes: Subscription prices are subject to change. Any price changes will be communicated in accordance with Apple's policies. If the price increases, you will be notified and asked to consent before the new price takes effect.

9. Refunds

Refund requests for Mac App Store purchases are handled by Apple according to Apple's refund policies. To request a refund, visit reportaproblem.apple.com. We do not process refunds directly.

10. Acceptable Use

You agree not to:

  • Use PriceCopilot to violate Apple's App Store Connect API terms, Developer Program License Agreement, or any applicable law.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the app.
  • Use the app to submit pricing data you are not authorized to modify.
  • Redistribute, sublicense, or resell the app.
  • Use automated tools (scripts, bots) to interact with the app in ways that circumvent normal usage.
  • Exploit bugs, vulnerabilities, or errors in the app for unauthorized purposes.

11. Third-Party Links and Services

PriceCopilot and its website may contain links to third-party websites, services, or data sources (including but not limited to Apple's App Store Connect, World Bank data, and PPP data providers) that are not owned or controlled by us.

We have no control over, and assume no responsibility for, the content, accuracy, privacy policies, or practices of any third-party websites or services. The inclusion of any link does not imply endorsement or recommendation by us. You acknowledge and agree that we shall not be liable for any damage or loss arising from your use of or reliance on any third-party content, goods, or services.

We strongly recommend that you review the terms and privacy policies of any third-party websites or services you access.

12. Feedback and Suggestions

If you provide us with any feedback, suggestions, feature requests, ideas, or other information regarding PriceCopilot (collectively, "Feedback"), such Feedback is given voluntarily. You acknowledge and agree that:

  • We are free to use, reproduce, modify, license, distribute, and otherwise exploit Feedback without restriction, compensation, or obligation to you.
  • Feedback will not be considered confidential or proprietary information.
  • You waive any and all rights, including intellectual property rights, in and to such Feedback.
  • We have no obligation to implement any Feedback.

13. Data Storage Responsibility

  • Your data is stored locally on your Mac. You are responsible for backing up your important data.
  • PriceCopilot does not provide cloud backup or sync services. Data may be lost if your Mac is lost, damaged, or if the app is uninstalled.
  • We are not liable for data loss resulting from device failure, accidental deletion, operating system issues, or any other cause outside our control.

14. Intellectual Property

PriceCopilot, including its design, code, features, name, logos, and documentation, is our intellectual property. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as needed to use the app.

"App Store," "App Store Connect," "macOS," and "Apple" are trademarks of Apple Inc. PriceCopilot is not affiliated with or endorsed by Apple Inc.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Service Provider and its representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms;
  • Your use of App Store Connect API credentials that you are not authorized to use;
  • Any pricing submissions or modifications you make through PriceCopilot;
  • Your violation of any applicable law, regulation, or third-party rights;
  • Any dispute between you and Apple or any other third party related to your use of PriceCopilot.

16. Disclaimer of Warranties

PRICECOPILOT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The app will meet your specific requirements.
  • The app will be uninterrupted, timely, or error-free.
  • Pricing strategies or suggestions will produce specific revenue outcomes.
  • The app will be compatible with future versions of macOS or the App Store Connect API.
  • Third-party data sources (PPP data, economic indicators) will be accurate or up-to-date.

Force Majeure: We shall not be liable for any failure or delay in the performance of our obligations under these Terms due to causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of government, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, earthquakes, network infrastructure failures, power outages, strikes, Apple policy or API changes, third-party service disruptions, or any other force majeure events.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF PRICECOPILOT.

Our total liability for any claim arising from these Terms or your use of the app shall not exceed the amount you paid for PriceCopilot in the twelve (12) months preceding the claim.

18. Pricing Data Accuracy

PriceCopilot generates pricing recommendations based on strategies and data sources available at the time of use. You are solely responsible for reviewing and approving all pricing changes before submission to App Store Connect. We are not responsible for pricing errors, revenue impact, or any other consequences resulting from submitted pricing changes.

19. Service Changes and Discontinuation

  • We may update, modify, add, or remove features, content, pricing strategies, data sources, or functionality of PriceCopilot at any time based on operational needs, product development, or other business considerations, with reasonable notice where practicable.
  • We reserve the right to adjust the scope of Free and Pro tier features and benefits based on product development needs. Such adjustments will be communicated through the app or website.
  • If PriceCopilot is discontinued, we will provide advance notice where practicable. For active subscriptions, you may cancel to avoid future charges. We do not assume the obligation to refund previously paid fees.

20. Modifications to Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Material changes will be communicated through the app or website. Continued use of PriceCopilot after modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, your sole remedy is to stop using PriceCopilot.

21. Termination

  • You may stop using PriceCopilot at any time by uninstalling the app.
  • We reserve the right to terminate or restrict your access to Pro features if you violate these Terms.
  • Upon termination, your license to use Pro features ends, but your locally stored data remains on your Mac.
  • Sections 12–18, 22–25, and any other provisions that by their nature should survive termination, shall survive termination of these Terms.

22. Governing Law and Dispute Resolution

These Terms shall be exclusively governed by and construed in accordance with the laws of the People's Republic of China, regardless of your location or jurisdiction.

All disputes, controversies, or claims arising out of or relating to these Terms or your use of PriceCopilot shall be resolved as follows:

  1. Amicable Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation within thirty (30) days of written notice from either party.
  2. Litigation: If the dispute cannot be resolved through negotiation within the above period, either party may file a lawsuit with the competent People's Court at the location of the Service Provider.

By using PriceCopilot, you consent to the exclusive jurisdiction described above and waive any objection to such jurisdiction or venue.

23. General Provisions

23.1 Assignment: You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations under these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without your consent.

23.2 Waiver: Our failure or delay in exercising any right, power, or privilege under these Terms shall not constitute a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

23.3 Notices: We may provide notices to you through the app, on our website, or via other reasonable means. All legal notices or communications from you to us should be sent to the email address listed in the Contact section.

23.4 Interpretation: To the extent permitted by applicable law, we reserve the right to interpret these Terms. In the event of any conflict or inconsistency between different language versions of these Terms, the Chinese version shall prevail. Headings in these Terms are for convenience of reference only and shall not affect the interpretation of any provision.

23.5 Supplementary Provisions: For matters not covered by these Terms, we may issue supplementary rules or policies as needed, which shall form an integral part of these Terms upon publication.

24. Entire Agreement

These Terms, together with our Privacy Policy and Auto-Renewal Service Agreement, constitute the entire agreement between you and us regarding your use of PriceCopilot, superseding any prior or contemporaneous understandings. These documents are complementary, and the integrity of the complete set shall not be compromised.

25. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
